Platform terms for academies

Effective 23 Oct 2026 · If the Arabic and English texts differ, the Arabic text governs.

These terms govern the relationship between Devya, the company that runs the Mudarraj platform, and every academy that opens its own Mudarraj. You accept them when you create your academy on the Open your academy page. They are written for the academy owner and anyone acting for the academy. Students and instructors are covered by the academy terms of use.

1. Parties and definitions

  • Devya ("we", "us"): the company that owns and operates Mudarraj. Our company details are at the end of this page.
  • Academy ("you"): the person or organisation that opens an academy on Mudarraj, represented by the account owner who created it.
  • Platform: the Mudarraj software and services, including your academy's site, the dashboard and the mobile apps.
  • Users: the students, instructors and admins who use your academy.
  • Content: the courses, lessons, videos, files, quizzes and posts uploaded by your academy, its instructors and its users.
  • Plan: the subscription you choose, with its limits, price and billing period.

2. Acceptance and record of consent

  • You accept these terms by ticking the consent box when you create your academy. We keep the version you accepted (its effective date), the time, your IP address and your browser type as a record of the contract.
  • If you accept on behalf of a company or organisation, you confirm you are authorised to bind it.
  • You must have full legal capacity to enter into a contract.
  • The Data Processing Addendum, the Acceptable Use Policy and the Copyright Policy form part of these terms.

3. Plans, limits and free trial

  • Each plan's limits are listed on the plans page and on the billing page of your dashboard: for example the number of instructors, students and courses, storage and video minutes, and whether you get a custom domain, live sessions, your own payment gateway or white-label branding. Some plans include a transaction fee, a percentage of your academy's sales, shown in the plan details.
  • Every plan starts with a free 14-day trial. No card needed.
  • When you reach a plan limit, you can't add more until you upgrade. We never delete your content because you reached a limit.
  • If you move to a smaller plan while your usage is above its limits, everything you have stays as it is, but you can't add new items beyond the new limit, and features the new plan doesn't include (such as a custom domain or live sessions) stop at the start of the new period.

4. Prices, invoices and payment

  • Prices are shown in Egyptian pounds on the plans page. Where value-added tax applies, we add it at the legal rate (currently 14%) and show it separately on the invoice, and we issue electronic invoices through the Egyptian Tax Authority's system where the law requires it.
  • Paid plans renew automatically at the end of each billing period (monthly or yearly). We issue the renewal invoice when the new period starts.
  • For now, invoices are paid manually by InstaPay or bank transfer, using the payment details on the invoice. A payment counts once the money arrives and we confirm it. Billing questions: billing@mudarraj.dev.
  • If your plan has a transaction fee, it is calculated on what students actually paid for your courses and appears on your invoice.
  • We don't refund the unused part of a paid period when you cancel or move to a smaller plan, unless these terms or the law say otherwise.

5. Late payment, suspension and cancellation

  • If an invoice is unpaid when your trial ends or your plan renews, your academy becomes "past due". It keeps working normally for 7 days.
  • If the invoice is still unpaid after that grace period, the academy is suspended: students and staff can't use it until you pay. Nothing is deleted while an academy is suspended, and it comes back as soon as the payment is confirmed.
  • You can cancel any time from the billing page. Cancellation takes effect at the end of the paid period; your academy then moves to the Free plan, or is suspended if no Free plan is available.
  • We may suspend your academy, or part of its content, straight away when that is needed to prevent serious harm: unlawful content, a security risk, fraud, or a serious breach of the Acceptable Use Policy. We tell you why, unless the law stops us.
  • For other breaches of these terms, we send you a notice and give you 14 days to fix the problem before we end the contract.
  • If we decide to stop running Mudarraj altogether, we tell you at least 60 days in advance and refund any prepaid period you haven't used.

6. Your responsibilities as an academy

6.1 You are the seller

  • Your academy sells its own courses to its own students: you set prices, collect payments, issue receipts and handle students' questions and complaints. Mudarraj by Devya is the technology provider and is not a party to the sale between you and a student.
  • You are responsible for your tax position: registering for VAT where required, issuing the receipts or e-receipts the law requires, and showing clearly whether prices include tax.
  • You must show students your legal name and contact details before they buy, as Consumer Protection Law No. 181 of 2018 requires.
  • You must publish a refund policy that is at least as generous as the Mudarraj minimum refund policy. You are free to offer students more.
  • Each course description must be accurate, and you must deliver what you sold for the whole access period you promised.

6.2 You control your students' data

  • For your students' and instructors' learning, sales and community data, your academy is the controller under the Personal Data Protection Law No. 151 of 2020, and Devya is the processor acting on your instructions, as set out in the Data Processing Addendum.
  • You are responsible for having a lawful basis to process your students' data, for answering their requests, and for obtaining a guardian's consent for anyone under 18. We help you as the addendum describes.

6.3 Payment gateways

  • If you enable a payment gateway such as Paymob or Fawaterak, you contract with that gateway directly and its terms apply to you. Devya is not a party to that contract.
  • You enter the gateway credentials yourself and we store them encrypted. You are responsible for keeping them correct and for monitoring your gateway account.

6.4 Your team and accounts

  • You are responsible for what the admins and instructors you add to your academy do there, and for giving each of them only the permissions they need.
  • Keep passwords secret, and tell us straight away at hello@mudarraj.dev if you suspect unauthorised access.

7. Content and intellectual property

  • Your content belongs to your academy and its instructors, as you agree between yourselves. The instructor terms work as the default template for that agreement.
  • You grant Devya a non-exclusive, royalty-free, worldwide licence to host, store, copy, transcode, compress, watermark, stream and display the content only as needed to run the platform for you and your users. The licence ends when the content is deleted, except for backup copies until they roll off.
  • You confirm that you and your instructors hold the rights needed for everything uploaded to your academy.
  • The Mudarraj platform, its software, design, name and logo belong to Devya. We give you a personal, non-transferable right to use it during your subscription. You may not copy, reverse-engineer or resell the platform.
  • You allow us to show your academy's name and logo on its site and inside the platform. We won't use them to market Mudarraj without your permission.
  • If we receive a copyright notice about content on your academy, we handle it under the Copyright Policy: we may disable the content temporarily, we tell you, and we expect your cooperation within the timelines set there.
  • If you send us suggestions to improve the platform, we may use them without any obligation to you.

8. Acceptable use, security and anti-sharing tools

  • The Acceptable Use Policy applies to you and to every user of your academy, and you agree to enforce it within your academy.
  • The platform gives you tools against account sharing and leaks: a limit on how many devices each account can use (2 by default), and a moving watermark on videos showing the viewer's name and a partly hidden phone number. You configure these tools, you use their data only for that purpose, and you tell your students about them (the academy terms of use do this).
  • We apply reasonable technical and organisational security measures, described in the Data Processing Addendum.

9. Personal data

  • Devya is the controller for platform-level account data, sign-in security, academy billing and security logs, as explained in the privacy policy.
  • Devya is the processor for your academy's data under the Data Processing Addendum, which forms part of these terms.
  • The service providers we rely on are listed on the sub-processors page.

10. Data export and deletion when the contract ends

  • You can export your academy's member list as a CSV file at any time from the dashboard.
  • You can ask for a full export of your academy's data (courses, members, enrolments and orders) by writing to hello@mudarraj.dev.
  • When your academy closes or the contract ends for any reason, we keep the data for 30 days so you can export it, then delete it within 90 days, except records the law requires us to keep (such as invoices and payment records). Backups are erased automatically as they roll off.
  • We confirm the deletion in writing if you ask.

11. Service level and maintenance

  • We make reasonable efforts to keep the platform available and fast, but we don't guarantee a specific uptime.
  • We announce planned maintenance in advance where practical and try to schedule it at quiet hours. We may need emergency maintenance without notice to protect the platform or your data.
  • We may develop the platform and change its features. We won't remove a core feature of a paid plan during a period you have paid for without telling you first.
  • We are not responsible for outages of services we don't run, such as payment gateways, internet providers or external streaming platforms.

12. Limitation of liability

  • We provide the platform "as is", to the extent the law allows.
  • We are not liable for indirect losses, such as lost profit, revenue or reputation.
  • Our total liability to you, for any cause, is capped at the total fees your academy paid Devya in the 12 months before the claim.
  • Nothing in these terms limits either party's liability for fraud or gross negligence, or for anything Egyptian law does not allow to be limited.

13. Indemnities

  • Your academy will compensate Devya for any third-party claim arising from your content, from the courses you sell and your relationship with your students (including refunds and consumer complaints), or from your breach of the law or of these terms.
  • Devya will compensate your academy for any third-party claim that the Mudarraj software itself (not the content uploaded to it) infringes intellectual property rights.

14. Confidentiality

Each party keeps the other's non-public information confidential and uses it only to perform these terms, unless the law requires disclosure.

15. Changes to these terms

  • We may update these terms from time to time. For material changes we tell you at least 30 days before they take effect, through the dashboard and by email to the academy owner.
  • If you don't agree with a change, you can cancel before it takes effect. If you keep using the platform after that date, you accept the new version, and we record that acceptance.
  • Non-material changes (such as wording clarifications or updated contact details) take effect when published.

16. Governing law and disputes

  • These terms are governed by Egyptian law.
  • We will first try to settle any dispute amicably within 30 days of a written notice sent to legal@mudarraj.dev.
  • If the dispute is not settled, the courts of Cairo have jurisdiction, including the Economic Courts where they are competent.
  • The Arabic text of these terms governs if it differs from this English translation.

17. General

  • These terms, together with the Data Processing Addendum, the Acceptable Use Policy, the Copyright Policy and your plan details, are the whole agreement between us.
  • You may not transfer these terms to someone else without our written consent. We may transfer them to an affiliate or to whoever takes over running Mudarraj, and we will tell you.
  • If any clause is found invalid, the rest stay in force.
  • Neither party is liable for delays caused by events beyond its reasonable control.
  • We send notices to the academy owner's email address. Send legal notices to us at legal@mudarraj.dev.
